Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a contract between you and zy.ai (“we”, “us”, “the Service”). They apply to the website zyai.org, the web app, APIs or bots we offer (including Telegram when enabled), and related features.

Our Privacy Policy explains how we handle personal data and is part of your overall relationship with us. Features described in Docs are for guidance; these Terms control if there is a conflict.

If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

2. The Service

zy.ai is a multi model AI workspace: chat, model selection, optional tools such as file upload, voice, web search, code scan, and plan based features. Models and features may change, move between Free / Pro / Ultra, or be limited as we manage capacity and costs.

We may update, pause, or remove models and features without prior notice when needed for security, legal, provider, or operational reasons. We will try to keep core product value available for paying users, but we do not guarantee any specific third party model forever.

3. Accounts

• You must provide accurate registration information and keep it up to date.
• You are responsible for activity under your account and for keeping credentials secure.
• You must be at least 13 years old (or the higher age required in your country) to use the Service.
• One person or organization per account unless we agree otherwise in writing. Sharing paid accounts to bypass plans is not allowed.
• Notify us promptly if you suspect unauthorized access.

4. Plans and billing

We offer Free and paid plans (currently Pro and Ultra). Prices, limits, and included features are shown on the site or in the app and may change for future billing periods.

Usage limits (messages, scans, media, and similar) apply per plan. Exceeding limits may block further use until the next reset or an upgrade. Fair use and anti abuse controls may apply even within stated limits.

5. Fees are non refundable

This matches common practice among consumer AI products (for example OpenAI, Anthropic, Google AI, and similar services): you pay for access during a period, not for a guaranteed outcome of any single prompt.

• We do not refund for change of mind, unused remaining days, unused message quota, model downtime by third parties, or because you dislike a particular answer.
• We do not refund if you violate these Terms and we suspend or terminate access.
• Chargebacks filed without a good faith attempt to resolve the issue with us may lead to account closure and collection of amounts owed.

Mandatory consumer rights: If a law in your country gives you a non waivable right to cancel or receive a refund (for example certain cooling off rules for consumers), that law controls only to the extent it cannot be excluded. Where the law allows us to set no refund for digital services once performance has begun, you agree that access to the Service after purchase is performance begun, and refunds are excluded.

If we cancel a paid plan for our convenience (not for your breach) and stop providing the Service for the rest of a prepaid period, we may at our option provide a pro rata credit or refund for the unused portion. That is a goodwill or operational choice, not an ongoing refund entitlement.

Cancel anytime to stop future renewals. Cancellation ends new charges at the next renewal; it does not reverse the current period already paid.

6. Acceptable use

You may use the Service only for lawful purposes. You agree not to:

• Break any law or third party rights
• Attempt unauthorized access, scrape in abusive ways, reverse engineer for competitive cloning beyond what the law allows, or disrupt the Service
• Bypass plan limits, security, or payment
• Upload malware or run attacks through the Service
• Use the Service to create or distribute child sexual abuse material, non consensual intimate imagery, or clear calls to violent crime
• Harass, defraud, or spam others at scale
• Misrepresent AI output as solely human generated where disclosure is required by law or platform rules you are bound by
• Use outputs for high risk decisions (medical diagnosis, legal advice as a lawyer, credit, employment, life safety) without qualified human review

We may investigate and remove content, rate limit, or ban accounts that violate this section.

7. Your content

You retain rights to the prompts, files, and materials you submit (“User Content”). You grant us a worldwide, non exclusive license to host, process, transmit, and display User Content solely to operate, secure, and improve the Service (including routing to model providers you select or we use to fulfill your request).

You represent that you have the rights needed to submit User Content and that it does not violate law or others’ rights. Do not upload data you are not allowed to process with third party AI systems.

8. AI outputs

Outputs are generated by automated systems and may be wrong, incomplete, biased, or offensive. You are responsible for how you use outputs.

• Do not rely on the Service as professional advice (legal, medical, financial, engineering, or similar) without independent verification.
• Outputs may not be unique; other users can receive similar text.
• Between you and us, and to the extent permitted by law and model provider terms, you may use outputs for your own purposes, subject to these Terms and third party rights (for example copyright in training data claims, trademarks, or personal data of others).
• We do not guarantee that outputs are free of third party IP claims.

9. Our intellectual property

The Service, branding, design, software, documentation, and related materials are owned by us or our licensors. You receive a limited, revocable, non transferable right to use the Service under these Terms. You may not copy, resell, or create a competing product by systematically extracting our non public materials.

10. Third parties

The Service depends on third parties: model providers, hosting and infrastructure, payment processors, Google sign in, email delivery, Telegram, and others. Their outages, policy changes, or terms can affect what we can offer. We are not responsible for third party sites or services you open through links.

11. Availability and beta features

We aim for good uptime but do not guarantee uninterrupted or error free operation. Maintenance, provider incidents, and force majeure can cause downtime.

Beta, experimental, or early access features are provided as is and may be changed or removed at any time.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, RELIABLE, OR FIT FOR YOUR PURPOSE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) FIFTY US DOLLARS (USD 50) IF YOU PAID NOTHING.

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the minimum extent required by law.

14. Indemnity

You will defend and indemnify us and our affiliates, officers, and agents against claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms, except to the extent caused by our willful misconduct.

15. Suspension and termination

You may stop using the Service at any time and cancel paid plans as described in billing settings.

We may suspend or terminate access immediately if you breach these Terms, create risk for the Service or other users, fail to pay, or if we must do so for legal reasons. We may also discontinue the Service with reasonable notice when practical.

Sections that by nature should survive (including intellectual property, disclaimers, liability limits, indemnity, refunds policy, and governing law) survive termination.

16. Changes to the Terms

We may update these Terms. The effective date will change at the top. Material changes may be announced in the product or by email when appropriate. Continued use after the effective date constitutes acceptance, unless applicable law requires otherwise.

17. Governing law and disputes

Unless mandatory local consumer law says otherwise, these Terms are governed by the laws of the jurisdiction where the operator of zy.ai is established, without regard to conflict of law rules. Courts in that jurisdiction will have exclusive venue, except that consumers may bring claims in their home courts where the law requires.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us and allowing 30 days for a response.

18. Contact

If any provision of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement regarding the Service and supersede prior terms on the same subject.
